The Dallas Court of Appeals has issued a lengthy and fact-intensive opinion in a case involving multiple causes of action stemming from the defendants’ failure to notify the plaintiffs of an opportunity to tag along in the sale of certain investment units. The details are peculiar to the terms of the parties’ contract, but the upshot is that the plaintiffs turned out not to have any tag along right after all, wiping out a damages award of $4.7 million, disgorgement of $20.4 million, and punitive damages of $4.7 million.
